Terms and Conditions – Virtual Assistant Services

These Terms and Conditions (“Terms”) govern your use of EDV Virtual Assistant, virtual assistant services. By hiring our services, you agree to these Terms.

1. Services Provided

We provide virtual assistant services including, but not limited to, administrative support, customer service, content management, scheduling, and other tasks agreed upon in writing.

2. Client Responsibilities

Provide clear instructions and necessary access to complete tasks.
Ensure all provided content, data, and files do not infringe on third-party rights.
Respond to communications in a timely manner to avoid project delays.

3. Fees & Payment

Fees are outlined in our proposal or invoice.
Payments must be made according to agreed terms (e.g., upfront, monthly, or per project).
Late payments may incur penalties or service suspension.

4. Confidentiality

We will treat all client information as confidential and will not disclose it to third parties without consent, except as required by law.

5. Intellectual Property

All client-provided materials remain the property of the client.
Work created specifically for the client under this agreement will be transferred to the client upon full payment.
We retain the right to showcase non-confidential work in our portfolio.

6. Service Availability

We strive to provide services promptly but are not liable for delays caused by circumstances beyond our control, such as internet outages, technical failures, or emergencies.

7. Termination

Either party may terminate the agreement with written notice.
Outstanding fees for completed work remain payable upon termination.

8. Limitation of Liability

We are not liable for:

Loss of profits or business opportunities.
Third-party service interruptions or errors.
Indirect or consequential damages.

9. Governing Law

These Terms are governed by the laws of Canada.
